Just what in the world is "due diligence?" I've heard a variation of that question many hundreds of times in my dealings as a business broker and as a lecturer on buying and selling a business. I think part of the mystery is in the wording of the phrase itself. The words by themselves don't mean much to the typical person and have more than a hint of "legalese" to them. For most buyers of small businesses, the transaction will be a once-in-a-lifetime experience and the major portion of their financial worth will likely be tied up in the purchase. It will be absolutely imperative for them to ensure to the maximum extent practical that they fully understand the details of the business they are buying.
